4. Firmware & Software
Some products may include pre-installed firmware or software. Sofitrek does not guarantee
the presence, compatibility, revision level, or suitability of such firmware or software for your
application. You are solely responsible for obtaining, installing, and licensing any firmware or software
from lawful sources.
5. Export Controls & Sanctions Compliance
The buyer is solely responsible for complying with all applicable U.S. and international
export-control, sanctions, and embargo regulations (including EAR, ITAR, OFAC, and EU dual-use rules).
Products may not be exported, re-exported, or transferred contrary to law. Buyer agrees to indemnify
and hold harmless Sofitrek from any penalties, liabilities, or losses arising out of non-compliance.
6. Customs, Duties, Taxes & Import Regulations
For international shipments, title and risk of loss transfer to the buyer when the goods are handed to
the carrier. The buyer is responsible for all customs clearance procedures, brokerage fees, import
duties, VAT/GST, environmental fees, and ensuring compliance with local labeling, packaging, safety,
and regulatory requirements (e.g., CE, UKCA, RoHS, REACH, WEEE, UL, CSA). Sofitrek assumes no liability
for delays, seizures, fines, or additional costs arising from customs or regulatory matters.
7. No Critical-Application Use
Products sold by Sofitrek are not authorized for use in life-support, implanted medical
devices, aerospace flight controls, nuclear facilities, weapons systems, or any application where
failure could reasonably be expected to result in personal injury, loss of life, or catastrophic
property damage. Buyer assumes all risk and indemnifies Sofitrek for any claims arising from such use.
8. Limitation of Liability
Sofitrek shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary
damages—including lost profits, business interruption, or loss of data—arising out of the purchase or
use of any product. In no event shall Sofitrek’s cumulative liability exceed the purchase price paid
for the specific product giving rise to the claim.
9. Force Majeure
Sofitrek shall not be liable for any delay or failure to perform due to events beyond its reasonable
control, including natural disasters, war, terrorism, labor disputes, supply-chain interruptions,
pandemics, or governmental actions.
10. Compliance with End-User Agreements
The buyer is solely responsible for complying with all terms of any End-User License Agreement (EULA)
or similar documentation that may accompany or relate to the products.
11. Governing Law & Jurisdiction
This disclaimer and any sale by Sofitrek are governed by the laws of the State of California, U.S.A.,
without regard to conflict-of-laws rules. Any dispute shall be resolved exclusively in the state or
federal courts located in Orange County, California, and buyer consents to personal jurisdiction there.
12. Severability
If any provision of this disclaimer is found invalid or unenforceable, the remaining provisions shall
remain in full force and effect.
By purchasing from Sofitrek, the buyer acknowledges having read, understood, and agreed to
all terms of this disclaimer—including export-control and liability provisions—without
limitation.
