By purchasing, installing, using, or reselling any sidecar and its parts sold by XYZ Distribution LLC (hereinafter referred to as “the Company”), the buyer (hereinafter referred to as “the Customer” or “the Purchaser”) acknowledges, understands, and agrees to all the terms and conditions outlined in this disclaimer. The Company sources its products from various suppliers and does not provide any manufacturer warranties or guarantees of fitness for a particular purpose. By purchasing a sidecar and its parts, the Customer assumes full responsibility for all risks associated with purchasing, handling, installing, modifying, maintaining, and using any product obtained from the Company. The Company expressly disclaims all liability related to the use, misuse, resale, or improper installation of any products.

This disclaimer applies to all transactions, including but not limited to:

Direct purchases from the Company via eBay, third-party marketplaces, direct sales, or auction platforms.

Purchases of new or used products from third-party individuals, resellers, or secondary markets.

Transactions without proof of purchase, including but not limited to private cash sales, social media transactions (Facebook Marketplace, Craigslist, etc.), and other informal or undocumented purchases.

Motorcycle sidecars and their components inherently involve mechanical, structural, and operational risks. The Customer assumes all responsibility for:

Professional and proper installation using appropriate tools, techniques, and safety measures.

Routine maintenance and inspections to ensure safe operation.

Understanding and complying with all applicable laws and regulations regarding the use of sidecars in their local jurisdiction.

Verifying compatibility with their motorcycle and ensuring that modifications, if any, are conducted safely and in compliance with safety measures and manufacturer specifications.

The Company shall not be liable for any accidents, injuries, or damages that result from:

1.         Improper installation by the Customer or an unqualified third party.

2.         Failure to follow appropriate safety precautions during installation or use.

3.         Modification or alteration of any parts after purchase.

4.         Negligent, reckless, or improper use of the sidecar.

5.         Overloading, excessive speed, or rough terrain use beyond recommended limits.

All sidecars and their parts sold by XYZ Distribution LLC are provided on an "as-is" and "with all faults" basis. The Company expressly disclaims any and all warranties, including but not limited to:

Merchantability

Fitness for a particular purpose

Non-infringement of third-party rights

Freedom from defects or mechanical failures

The Company does not guarantee:

That the sidecar will fit any specific make or model of motorcycle.

That the sidecar will meet safety regulations or road laws in any jurisdiction.

That the product will perform without issues under all conditions or for an extended duration.

o   It is highly recommended that the Customer seeks the assistance of a certified motorcycle mechanic or a professional with experience in sidecar installations.

o   The Company does not provide installation instructions and assumes no responsibility for the correctness of any third-party guidance.

o   The Customer is solely responsible for ensuring that the sidecar is mounted securely and properly aligned with the motorcycle.

o   The stability and safety of the sidecar depend on the proper attachment of mounting brackets, bolts, and fasteners.

o   Over-tightening, under-tightening, or using non-recommended fasteners may lead to serious safety hazards, including detachment while in motion.

o   Carrying excess weight or transporting passengers beyond the recommended limit can cause mounting failures or detachment.

o   Installing a sidecar significantly alters the handling dynamics of a motorcycle.

o   It is the Customer’s responsibility to adjust their riding style accordingly and undergo training if necessary.

o   The Company is not responsible for accidents or injuries caused by improper handling, excessive speed, or inadequate braking.

If a Customer sells, transfers, or gifts a sidecar or part to another party, the Company is no longer responsible for any liability claims regarding that product. The original purchaser must inform future buyers that the Company is not liable for defects, failures, or damages resulting from secondary use.

The Company does not track ownership transfers of its products.

The new owner assumes all risks associated with the product and cannot hold XYZ Distribution LLC responsible for damages, defects, or injuries.

If a third-party seller falsely claims that a product originated from XYZ Distribution LLC, the Company is not responsible for any resulting misrepresentation or liability.

No liability claims will be entertained unless the Customer provides valid proof of purchase directly from XYZ Distribution LLC. The following claims will not be honored:

Claims made by individuals who purchased the product without an invoice or receipt.

Claims regarding defects, failures, or injuries without proof that the product originated from the Company.

Claims related to second-hand or used sidecars, regardless of the condition at the time of purchase.

By purchasing and using any product from XYZ Distribution LLC, the Customer agrees to indemnify, defend, and hold harmless the Company, its owners, employees, agents, affiliates, and suppliers from:

Any and all claims, damages, losses, injuries, or legal actions arising from the use or misuse of the product.

Legal costs, attorney fees, or other expenses related to any claim brought against the Company due to the Customer’s negligence, misuse, or improper installation.

To the maximum extent permitted by law:

1.         The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the purchase, installation, or use of its products.

2.         The Company’s total liability, under any circumstances, shall not exceed the actual amount paid by the Customer for the product.

1.         This disclaimer and any transactions between the Customer and XYZ Distribution LLC shall be governed by the laws of North Carolina.

2.         Any legal disputes shall be resolved in the courts of the State of North Carolina and the Customer agrees to submit to the jurisdiction of these courts.

3.         The Customer waives any right to participate in a class action lawsuit against the Company.

By purchasing, installing, or using any product from XYZ Distribution LLC, the Customer:

Acknowledges that they have read, understood, and agreed to this disclaimer in full.

Waives any right to hold XYZ Distribution LLC liable for damages, injuries, or losses related to the product.

Assumes full responsibility for the risks associated with product use and installation.
