I. COMPLIANCE WITH FEDERAL, STATE, AND LOCAL REGULATIONS (INCLUDING FDA REGULATIONS)

The sale, possession, transportation, ownership, resale, or use of the item(s) listed may be subject to regulation by one or more governmental entities, including, but not limited to, the United States Food and Drug Administration (FDA), the United States Department of Health and Human Services (HHS), as well as state and local regulatory and public health agencies. Buyer acknowledges and agrees that it is their sole responsibility to ensure that they are compliant with all such applicable laws, codes, and regulations regarding the lawful purchase and use of the item(s).

If the item in question is subject to FDA regulation or any similar oversight, Buyer affirms that they are an authorized purchaser as defined under Title 21 of the Code of Federal Regulations. Buyer further agrees and understands that the seller reserves the right to delay or cancel the shipment of said item(s) until such time as Buyer’s status as an authorized purchaser is satisfactorily verified. Under no circumstances shall the seller be held responsible for any delay, loss, or damage resulting from regulatory compliance procedures, documentation, or authorization processes.

Should any product sold be labeled, marked, or otherwise designated as expired, Buyer agrees that such product(s) are strictly for non-clinical, non-diagnostic, non-therapeutic use only, and shall be used exclusively in educational, training, veterinary, or scientific research contexts, as allowed under applicable law.

II. COMPREHENSIVE WAIVER OF LIABILITY, INDEMNITY AGREEMENT, AND ASSUMPTION OF ALL RISKS

By bidding on, purchasing, accepting delivery of, acquiring, or in any way obtaining any product or item from the seller, the Buyer (hereinafter referred to as “Buyer”), as well as any agent, representative, employee, contractor, end user, assignee, transferee, or third-party beneficiary of Buyer (collectively referred to as “User”), unconditionally agrees to the following legally binding terms and conditions, which are non-negotiable and universally applicable:

Voluntary Assumption of Risk: Buyer voluntarily assumes all known and unknown risks associated with the acquisition, possession, handling, transport, storage, resale, transfer, installation, use, misuse, maintenance, or disposal of any item. Buyer acknowledges that items sold by the seller may be used, refurbished, untested, non-functional, damaged, or otherwise unsuitable for any intended use.

Responsibility for Inspection and Suitability: It is solely and entirely the responsibility of Buyer to:

Determine the safety, suitability, and compatibility of the item(s) for their intended or contemplated use;

Arrange for full and thorough inspection, testing, calibration, and certification of any item by licensed professionals, certified technicians, engineers, or medical equipment specialists prior to use;

Ensure that all usage of the item(s) complies with all applicable laws, industry standards, and manufacturer instructions.

Absolute Release of Liability: Buyer hereby irrevocably and unconditionally agrees that the seller, including but not limited to its owners, officers, employees, contractors, agents, representatives, affiliates, successors, and assigns, shall not be held liable or responsible under any legal theory—whether in contract, tort, equity, strict liability, negligence, product liability, or otherwise—for any damages, losses, costs, claims, injuries, or deaths that may result from:

The use or misuse of the item;

Any defects, latent or patent, known or unknown;

Failure to operate, improper installation, or unanticipated consequences;

Violation of regulatory or legal requirements by Buyer or User;

Any incidental, consequential, special, indirect, exemplary, or punitive damages of any nature whatsoever.

Hold Harmless and Indemnification: Buyer agrees to fully indemnify, defend, and hold harmless the seller and all related entities from any and all claims, actions, proceedings, demands, liabilities, damages, settlements, penalties, judgments, losses, or expenses (including reasonable attorneys’ fees) arising directly or indirectly from:

The use, possession, ownership, resale, or disposal of the item(s);

Any injury, death, damage, or loss occurring to any person or property in connection with the item(s);

Buyer’s violation of any applicable law, rule, regulation, or code;

Any legal action or administrative proceeding initiated by a third party or governmental entity relating to the item(s).

No Express or Implied Warranties: The seller provides no warranty or guarantee of any kind, either express or implied, including but not limited to:

Implied warranties of merchantability;

Fitness for a particular purpose;

Non-infringement;

Functionality, performance, or accuracy of specifications;

Conformity to any standard, expectation, or representation.

All items are sold strictly “AS IS,” “WHERE IS,” “WITH ALL FAULTS,” and with no warranty of any kind.

Legal Capacity & Eligibility: By proceeding with the purchase, Buyer affirms under penalty of perjury that:

They are not prohibited by any federal, state, or local law from purchasing, possessing, owning, or using the item(s);

They are either a licensed medical professional, healthcare provider, government agent, authorized institutional purchaser, or qualified technical professional, and are acting in full compliance with applicable law.

III. NO-RETURNS POLICY — FINAL SALE AGREEMENT

All sales are final. No returns, exchanges, cancellations, or refunds will be accepted under any circumstances.

By purchasing the item(s), Buyer expressly acknowledges and agrees to the following:

The item is being sold “AS IS,” with no guarantee of performance, fitness, or compatibility;

Buyer is solely responsible for performing due diligence prior to purchase;

Once the item has left the seller’s possession, the transaction is considered fully and irrevocably complete;

Any attempt to return the item, initiate a chargeback, or reverse payment will be considered a breach of this agreement and may result in legal action.

The seller will not accept any returned items for any reason, including but not limited to claims of:

Item not as described;

Item non-functional or incompatible;

Buyer’s change of mind, error, or dissatisfaction;

Regulatory issues or shipping problems.

IV. GOVERNING LAW AND SEVERABILITY

This agreement shall be governed by and construed in accordance with the laws of the United States of America and the State of [Insert State Here], without regard to conflict of laws principles. Buyer agrees that any dispute arising from this transaction shall be resolved exclusively in the state or federal courts located within the seller’s primary jurisdiction, and Buyer hereby waives any claim of inconvenient forum.

If any provision or portion of this agreement is found to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

V. ENTIRE AGREEMENT

This document constitutes the entire and exclusive agreement between the parties with respect to the subject matter herein. No oral statements, representations, or prior written documents shall have any legal effect. No modification of these terms shall be valid unless made in writing and signed by an authorized representative of the seller.

ACKNOWLEDGEMENT OF ACCEPTANCE

By purchasing, receiving, or otherwise acquiring any item from the seller, Buyer expressly acknowledges that they have read, understood, and agreed to be legally bound by all terms and conditions set forth in this document. Buyer further acknowledges that this agreement is clear, unambiguous, and executed voluntarily and without coercion.
