1. Purchase: All sales must be in cash or certified funds, payable in full to Seller prior to release of any items to Buyer.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JT's CYCLE PARTS BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER IN CONTRACT OR TORT, OR UNDER ANY OTHER THEORY OF LIABILITY INCLUDING LOSS OF REVENUE, PROFITS OF BUSINESS, ANY LOSS OF GOODWILL OR REPUTATION, OR THE COSTS OF SUBSTITUTE GOODS OR SERVICES. IN NO EVENT SHALL THE TOTAL LIABILITY OF JT's CYCLE PARTS TO BUYER FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE) ARISING FROM THE AGREEMENT, THE SALE OF product, OR THE USE OF SAID product IN THE AGGREGATE THE TOTAL SHALL BE NO MORE THAN THE PURCHASE PRICE.
3. Disclaimer: To the fullest extent permitted by law, the product provided to Buyer is provided on an "as is and where is" basis without warranties of any kind, whether express or implied, including without limitation implied warranties of non-infringement, merchantability, or fitness for a particular use.
4. Indemnification: Buyer agrees to defend, indemnify, and hold harmless Seller, its subsidiaries and affiliates, and each of their respective officers, directors, employees, agents, successors and assigns from and against any claim or demand, including reasonable attorney's fees and costs made by any third party including, but not limited to, Buyer's due to or arising out of your breach of this agreement, your improper use of the purchased product, your violation of any law of the rights of a third party, or any breach of the representations, warranties, or covenants set out in this agreement.

Termination, Rescission, and Default:

• A. JT's Cycle Parts shall have the right, in its sole discretion, to terminate this agreement, in whole or in part, if you fail to pay the proper sum for the product, Buyer has violated applicable laws, regulations, or third-party rights, or termination is required for fraud prevention, risk assessment, security, or investigation purposes.
• B. Seller makes no representations in regards to the product being purchased by Buyer and Buyer assumes the entire risk as to the quality, condition, or adequacy of said product. Buyer shall be solely responsible for installation or operation of said product and for any latent or unknown defects in regards to said product.
• C. If the Buyer fails to pick up the product by the specific pick-up date, the Buyer will be placed in default and will be subject to damages and liabilities to the Seller including, but not limited to, all storage fees, administrative fees, and the amount of any reduction in sales price upon resale of the goods by the Seller. Pending payment of the Buyer's default, penalties, and any other assessed claims, damages, liabilities, and fees, the defaulting Buyer will be barred from bidding on any other listings on this or any other affiliated websites.
