Nice scarce piece this is the 1998 Toy Biz Spider-Man Sneak Attack: Shape Shifters Venom figure. It was part of the "Shape Shifters" sub-line, where characters transformed into creature forms. In Venom's case, he transformed into a 3-headed serpent.
